Let’s continue reviewing the new Ministry of Investment Regulation No. 5 of 2025 dated 01 October 2025
Main and Supporting Business Activities (Art. 35)
Main activities are business activities that serve as the company’s source of income or generate profit. Main business activities must be stated in the company’s deed of establishment or in deed amendments ratified by AHU.
A supporting business activity is classified as supporting in relation to the main activity.
The KBLI of a supporting activity cannot be the same as the KBLI of the main activity.
If a supporting activity does not generate income/profit, it is exempt from checks on investment and capital requirements, as well as from the obligation to amend the company deed by adding its KBLI. But if it does generate income, then you are required to do so.
Mechanisms simplifying permit approvals have been introduced (Art. 41 - 46)
Companies leasing premises in a shopping mall, business center, etc. may use the main permits obtained by the building owner for their own business license. The list of permits includes KKPR, PBG, SLF, and environmental permits (SPPL, UKL-UPL, AMDAL).
There is no need to obtain a new KKPR for capacity expansion, adding business activities, or integration with an existing business within the same area.
For supporting activities within the same area as the main activity, permits obtained for the main activity may be used (KKPR, PBG, SLF, SPPL, UKL-UPL AMDAL).
Mandatory partnership (Art. 244-245)
Some KBLI codes require this partnership for activation. Their description in OSS contains the following note:
Cooperation with cooperatives, as well as micro, small, and medium enterprises (UMKM), is mandatory as stipulated in Presidential Regulation No. 49 of 2021 “On Amendments to Presidential Regulation No. 10 of 2021 on the Investment Business Sector”.
There are 59 of them in total in Appendix II of the Regulation. Here are the most popular among PT PMA:
23951 Cement industry
32112 Jewelry industry: precious metal products for personal use
32113 Precious metal jewelry not intended for personal use
32120 Manufacture of imitation jewelry and similar articles
32903 Handicraft industry, not elsewhere classified
41012 Construction of office buildings
41013 Construction of industrial buildings
77311 Rental of vehicles excluding motorized vehicles with four or more wheels
77394 Rental and leasing without option rights of office machinery and equipment
77399 Rental and leasing without option rights of machinery, equipment, and other tangible goods not included in other categories
95120 Repair of communication equipment
95210 Repair of consumer electronics
To register a business license under these KBLI codes, large businesses (PT PMA) are now required not only to establish partnerships with UMKM, as was previously the case (though hardly anyone actually did this), but also to confirm them through a corresponding declaration in the OSS system (a sample declaration has been added in the comments).
